Access to and use of the web-based investor inquiry service ("Investor Portal") for RP Investment Advisors LP (“RPIA”) constitutes your acceptance of and compliance with the Conditions of Use set out herein. Please take the time to review these conditions. If you do not accept them, please discontinue use of the Investor Portal. RPIA may change the Conditions of Use at any time without notice by updating this posting. You agree to review the Conditions of Use regularly and your continued access or use of Investor Access will mean that you agree to any changes.
Disclaimer
The Investor Portal is presented on an "as is" basis only; internet software or transmission problems may produce inaccurate or incomplete copies of information and materials that may be accessed and displayed on your computer. RPIA does not warrant that the Investor Portal will be free from error or interruption. RPIA is not responsible for any damage of any nature, whether direct, indirect, special, incidental or consequential, in reliance on the information available on the Investor Portal, including, without limitation, any loss of use, loss of profit, loss of data, business interruption or any other loss or damage, whatever the form of action, and whether or not RPIA has been negligent. This service is not intended to provide legal, accounting or tax advice and should not be relied upon in that regard. RPIA is not responsible for unauthorized use or reproduction of any information contained in the Investor Portal. Links in the Investor Portal to other sites or references to products, services or publications other than those of RPIA should not be construed as an endorsement or approval of such sites, products, services or publications by RPIA. For greater certainly, RPIA disclaims all express and implied warranties regarding information, software, products and services contained on this website to the extent permitted by law.
RPIA and any person creating or transmitting the information on the site shall not be liable for any infection by viruses of or damage to any computer that results from your use of, access to or downloading of such information. If you are dissatisfied with the information, products or services offered at the site or with the terms and conditions of these terms of use, your sole and exclusive remedy is to discontinue use of and access to the site.
RPIA and/or its respective suppliers may make improvements and/or changes in the content and operation of the site at any time without notice. The site may be temporarily unavailable from time to time due to required maintenance, telecommunications interruptions or other reasons
Access and Security
You are solely responsible for maintaining the security of your User ID and password and ensuring that you are the only person using the User ID and password. You agree not to disclose your User ID and password to any other person including any employees of RPIA. RPIA is not responsible for the unauthorized use of the Investor Portal by any other person with your User ID or password and RPIA is under no obligation to confirm the actual identity or authority of anyone using your User ID or password.
You agree to notify RPIA immediately upon becoming aware of any known or suspected unauthorized use of your User ID or password to gain access to the Investor Portal, or any breach in security involving your User ID or password.
Privacy and Confidentiality
The Investor Portal is a secure service, and information within the Investor Portal is restricted to authorized registered users and RPIA. Registered user access is restricted to their specific accounts and investments with RPIA. The collection, recording and use of personal information of users is governed by RPIA’s Privacy Policy which is available at www.rpia.ca. Investors and user of the Investor Portal must read the Privacy Policy before providing any information to RPIA. Questions regarding the Privacy Policy can be directed to investors@rpia.ca.
The Investor Portal and all information contained within, is subject to RPIA’s Cybersecurity Policy which employs robust technologies and processes, and adheres to regulatory guidelines and industry standards, to ensure the security of information maintained within the Investor Portal.
No Unlawful or Prohibited Use
As a condition to your use of the Investor Portal, you represent and warrant to, and agree with, RPIA that you will not use the Investor Portal for any purpose that is unlawful or prohibited by these Terms of Use.
Modification and Monitoring of the Investment Portal
RPIA may, at its discretion, change, modify, add or remove portions of these Terms of Use at any time without notice to you. We suggest that you check these Terms of Use periodically for changes. These Terms of Use can be accessed from the link at the bottom of each page. If you use the Investor Portal after we post changes to these Terms of Use, you accept the changed Terms of Use. RPIA expressly reserves the right to monitor any and all use of the Investor Portal.
Termination and Cancellation
RPIA may modify or terminate the Client Portal and terminate your access to the Investor Portal, without notice at any time and for any reason.
Limitation of Liability
RPIA its directors, employees, partners, agents, suppliers, or affiliates, shall not be liable for any loss or damage, direct or indirect, incidental, special, consequential or punitive damages, including without limitation, economic loss, loss or damage to electronic media or data, goodwill, or other intangible losses, resulting from (i) your inability to access or use the Investor Portal; (ii) any conduct of any third party on or related to the Investor Portal; (iii) any other access to or use by you of the Investor Portal to the extent permitted by law and (iv) the unauthorized access to, use of or alteration of your transmissions or content, whether based on warranty, contract, tort (including negligence) or any other claim in law, whether or not we have been informed of the possibility of such damage, and even if a remedy set forth herein is found to have failed of its essential purpose.
Intellectual Property
The Investor Portal and all content other than user generated content, including but not limited to text, images, graphics or code are the property of RPIA and are protected by copyright, trademarks, database and other intellectual property rights. You may display and copy, download or print portions of the material from the different areas of the Investor Portal only for your own non-commercial use. Any other use is strictly prohibited and may violate copyright, trademark and other laws. These terms do not grant you a license to use any trademark of RPIA or its affiliates. You further agree not to use, change or delete any proprietary notices from materials downloaded from the Investor Portal.
Indemnity
You agree, at your own expense, to indemnify, defend and hold harmless RPIA, its parents, subsidiaries and affiliates, and their officers, partners, managers, members, employees, agents, distributors and licensees, from and against any judgments, losses, deficiencies, damages, liabilities, costs, claims, demands, suits, and expenses (including, without limitation, reasonable attorneys' fees and expenses) incurred in, arising out of or in any way related to your breach of these Terms of Use or the Privacy Policy, your use of the Investor Portal or any RPIA website or any product or service related thereto, or any of your other acts or omissions.
Cookies
A cookie is a small file containing certain pieces of information that the Investor Portal creates when you use it. There are two common types of cookies, "session cookies" and "persistent cookies". A "session cookie" stores information only for the length of time that you are connected to Investor Access and is not written onto your hard drive. A "persistent cookie" is written onto your hard drive and remains there until its expiry date. Investor Access uses session cookies to identify your current session to the web server, and ensure that at all times during your session we are dealing with you. The Investor Portal uses persistent cookies to store information that you are aware of, for example, if you choose the option on our log-in screen to remember your User ID, your computer will remember it automatically and input your User ID each time you access the Site.
